| Circumstances by reason of which change has occurred | (1) By virtue of the distribution by Capital A Berhad ("Capital A") of new ordinary shares in AirAsia X Berhad ("AAX"), being part of the consideration shares received from AAX pursuant to the disposal by Capital A of its 100% equity interest in AirAsia Aviation Group Limited ("AAAGL") to AAX, to the entitled shareholders of Capital A by way of a reduction and repayment of Capital A's issued share capital pursuant to Section 116 of the Companies Act 2016 ("Distribution"). (2) Arising from the allotment of new ordinary shares in AAX being part of the consideration shares received from AAX pursuant to the disposal by Capital A of its 100% equity interest in AAAGL to AAX, to Capital A. (3) Arising from the allotment of new ordinary shares in AAX being fractional entitlement to the Distribution, to Capital A. |
